Sentio advises on £36m exit of healthcare tech platform CloudRx

We’ve advised the shareholders of CloudRx on its £36m sale to Vulcan Two Group plc.

CloudRx is one of the UK’s fastest-growing healthcare technology businesses. Founded in 2019 by Daniel Lee and Dr Julian Harrison – both previously founders of Pharmacy2U – the business combines a digital prescription platform with a fully regulated pharmacy serving the private healthcare sector.

The growth over the last four years has been significant. Revenue increased from £5.4m in 2021 to £23.9m in 2025 as the business expanded beyond private HRT prescriptions into categories including weight-loss and men’s health. EBITDA for the year to December 2025 was £3.5m.

The transaction values the business at £36m, comprising £32m cash on completion with the balance in shares in the enlarged group and deferred consideration.

Our role

Sentio has worked alongside Daniel for several years across several other deals, building a deep understanding of the business and the market it operates in. That long-standing relationship meant we were well placed to advise on the optimal timing and structure for a transaction – and to run a process that captured the full value created by the founders.

This was a complex, public market transaction in a regulated sector. We managed every stage of the process, working closely alongside the management team, from strategic positioning and buyer engagement through to negotiation and completion – keeping the focus throughout on maximising value and delivering the right outcome for our client.
